You may use the Website only for lawful purposes and in accordance with these Terms of Use. You agree not to use the Website:

COPYRIGHT INFRINGEMENT

• If you believe that any User Contributions violate your copyright, please see our Copyright Policy for instructions on sending us a notice of copyright infringement. It is the policy of the Company to terminate the user accounts of repeat infringers.

LP365 UNLIMITED

CLE Approval and Course Submissions: LawPracticeCLE will automatically seek Continuing Legal Education (CLE) approval for the first 12 courses completed by the user in their primary and alternate state license, subject to the exclusions mentioned below. If the user requires additional credits to be submitted to their state bar(s), they must contact our administration team at [email protected]. In such cases, the user may purchase a supplemental LP365 Unlimited product.

The LawPracticeCLE Unlimited subscription is valid for a period of 12 months (365 days) from the date of purchase. Users have the option to cancel the subscription at any time. If the subscription is not canceled prior to the one-year renewal date, it will automatically renew for another year. If a user wishes to cancel the subscription after being charged, they must contact the Company within 14 business days to receive a full refund. Beyond the 14 days, a credit in the amount will be applied to the customer’s account for future use.

The LP365 Unlimited subscription grants access to a wide range of courses available on the Company website. However, please note that certain exclusions may apply, and not all courses may be included in the LP365 Unlimited subscription. The availability of courses is subject to the discretion of the Company, and they reserve the right to modify or remove courses from the LP365 Unlimited subscription at any time. Users are encouraged to check the course catalog or contact the Company for the most up-to-date information on the courses included in the LP365 Unlimited subscription.

Paralegals who are seeking CLE credit must contact us to ensure their transcript is notated as paralegal not an attorney so applications to the paralegal association, NALA, or the state of California to submit to their state bars via reciprocity.

Exclusions: LP365 Unlimited is unavailable for attorneys seeking CLE credit and licensed in these states: Illinois, Maine, Minnesota, Oregon, Virginia & Wisconsin. Attorneys in these states are welcome to take courses with LawPracticeCLE, but CLE credit is not available in these states.

Monitoring and Enforcement; Termination

We have the right to:

Remove or refuse to post any User Contributions for any or no reason in our sole discretion. Take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion, including if we believe that such User Contribution violates the Terms of Use, including the Content Standards, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Website or the public, or could create liability for the Company. Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy. Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Website. Terminate or suspend your access to all or part of the Website for any or no reason, including without limitation, any violation of these Terms of Use.

Governing Law and Jurisdiction

Agreement to Arbitrate. In the interest of resolving disputes between You and LawPracticeCle LLC in the most expedient and cost-effective manner, You and LawPracticeCle LLC agree that every dispute arising in connection with this Agreement will be resolved by binding arbitration. Arbitration is less formal than a lawsuit in court. Arbitration uses a neutral arbitrator instead of a judge or jury, may allow for more limited discovery than in court, and can be subject to very limited review by courts. Arbitrators can award the same damages and relief that a court can award (although the arbitrator must abide by the contractual limits on damages in this Agreement) and must enforce applicable statutes of limitation and legal defenses. This Agreement to Arbitrate disputes includes all claims arising out of or relating to any aspect of this Agreement, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, and regardless of whether a claim arises during or after the termination of this Agreement. BY ENTERING IN THIS AGREEMENT, YOU AND LAWPRACTICE CLE LLC ARE EACH WAIVING THE RIGHT TO FILE A LAWSUIT AND THE RIGHT TO A TRIAL BY JURY. YOU UNDERSTAND AND AGREE THAT ANY ARBITRATION UNDER THIS AGREEMENT WILL BE ON AN INDIVIDUAL BASIS.

Waiver of Class Actions and Right to Trial by Jury. To the fullest extent permitted by law, You acknowledge and agree that You may bring claims against LawPracticeCle LLC only in Your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. CLASS ACTIONS, CLASS ARBITRATIONS, REPRESENTATIVE ACTIONS, AND/OR CONSOLIDATION OFACTIONS OR ARBITRATIONS ARE NOT ALLOWED. YOU AGREE THAT YOU HAVE EXPRESSLY AND KNOWINGLY WAIVED YOUR RIGHTS TO PARTICIPATE IN A CLASS ACTION AND TO A TRIAL BY JURY. Procedures. Any arbitration between You and LawPracticeCle LLC will be resolved under the Federal Arbitration Act, administered by the American Arbitration Association (“AAA”) and governed by the Commercial Dispute Resolution Procedures of the AAA, and where the claim is by or against a natural person and involves a product or service for personal or household use, then the arbitration will be governed by the AAA Consumer Rules (collectively, “AAA Rules”), as modified by this Agreement. The AAA Rules and filing forms are available online at www.adr.org.

Notice. If You intend to seek arbitration, You must first send a written notice (“Notice”) of Your claim or dispute to LawPracticeCle LLC by certified U.S. Mail or by Federal Express (signature required). LawPracticeCle LLC’s address for Notice is LawPracticeCle LLC’s address of record as listed on the Site, ATTN: LEGAL. The Notice must describe: (a) the nature and basis of the claim or dispute; and (b) the remedy that You want (“Demand”). You and LawPracticeCle LLC agree to make good faith efforts to resolve the claim directly, but if You and LawPracticeCle LLC do not reach an agreement within 30 days after the Notice is received, You or LawPracticeCle LLC may commence an arbitration proceeding. During the arbitration, the amount of any settlement offer made by You or LawPracticeCle LLC must not be disclosed to the arbitrator until after the arbitrator makes a final decision and award, if any.

Fees. If You commence arbitration in accordance with this Agreement, the payment of fees related to the arbitration will be decided by the AAA Rules. If Your claim is less than ten thousand dollars ($10,000.00), LawPracticeCle LLC will reimburse You for the payment of the filing fee. However, if the arbitrator finds that either the substance of Your claim or the relief sought in the Demand is frivolous or brought for an improper purpose (as measured by the standards set forth in Federal Rule of Civil Procedure 11(b)), You agree to reimburse LawPracticeCle LLC for any fees paid on Your behalf that would otherwise be Your obligation under the AAA Rules.

Location. The arbitration hearing will take place at a location to be agreed upon in Miami-Dade County, Florida. If Your claim is for ten thousand ($10,000) or less, You may choose whether the arbitration will be conducted: (a) solely on the basis of documents submitted to the arbitrator; or (b) through a non-appearance based telephone hearing.

Waiver and Severability

No waiver by the Company of any term or condition set out in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.

Entire Agreement

The Terms of Use and our Privacy Policy constitute the sole and entire agreement between you and LawPracticeCle LLC regarding the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website.
