Course Description
The course will cover the origin, characteristics, and uses of special purpose entities (“SPEs”) and it will discuss true sale issues affecting SPEs. Following the introduction, the course will review the types of veil-piercing claims, state and federal, that are asserted against SPEs, and we will look at representative cases. The course will conclude with an overview of substantive consolidation and how it relates to veil-piercing.
